These Terms of Use (“Terms”) govern your access to and use of the Toreus marketing website at this domain (the “Site”), operated by Toreus Technologies, Inc. (“Toreus,” “we,” “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. These Terms cover the Site only. They do not govern the Canopy product or its services, which are provided under a separate written agreement.
1The Site is informational
The Site provides general information about Toreus and Canopy, and a way to request access. Content is provided for informational purposes only and may change without notice. We make no commitment to update it.
Any figures, fund names, waterfall calculations, statement traces, order-book depth, and settlement data shown on the Site are illustrative examples using fictional data — including the sample fund “Meridian Growth III” and its investors — and are not real fund records, financial results, or an offer, solicitation, or recommendation with respect to any security, fund, or investment. Nothing on the Site is accounting, tax, legal, or investment advice.
2Permitted use
You may view and use the Site for lawful, personal, and non-commercial informational purposes. You agree not to:
- use the Site in violation of any law or these Terms;
- attempt to gain unauthorized access to the Site or its systems;
- interfere with or disrupt the Site, including via scraping, bots, denial-of-service activity, or excessive automated requests;

The Site and its content — including text, graphics, logos, the “Toreus” and “Canopy” names and marks, and page design — are owned by Toreus or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view the Site for the purposes in Section 2. All other rights are reserved. You may not use our names or logos without prior written permission. Third-party names and logos shown on the Site are the property of their respective owners and are used for identification only.
4Third-party links and content
The Site may link to third-party websites and resources. We do not control and are not responsible for third-party content, products, or practices. Your use of third-party sites is governed by their terms and policies.
5Access requests and submissions
You may request access to Canopy through the form on the Site. You agree to provide accurate, current, and complete information. Submitting a request creates no obligation for Toreus to grant access, to respond within any particular time, or to enter into any agreement with you; we may decline, limit, or revoke access at our discretion. Except through that form, do not send us confidential or proprietary information through the Site; any unsolicited submissions are deemed non-confidential.

Your use of the Site is also subject to our Website Privacy Notice, which explains how we handle information collected through the Site.
7No warranties

IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF TOREUS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00) IN THE AGGREGATE. THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
9Indemnification
You agree to indemnify and hold harmless Toreus and its affiliates from claims and expenses arising out of your misuse of the Site or violation of these Terms.
10Changes to the Site and these Terms
We may modify, suspend, or discontinue the Site at any time. We may update these Terms from time to time; the updated version takes effect when posted, and the “Last updated” date will change. Your continued use of the Site means you accept the updated Terms.
11Governing law and disputes
These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You and Toreus agree that the exclusive venue for any such dispute will be the state or federal courts located in the State of Delaware, and you and Toreus consent to the personal jurisdiction of those courts and waive any objection to venue there on grounds of inconvenient forum or otherwise.
12Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Toreus regarding the Site. Our failure to enforce any provision is not a waiver.
